1. Independent Contractor Relationship

The Agent is an independent contractor and not an employee, partner, joint venturer, franchisee, legal representative, or agent with authority to bind the Company. The Agent controls the manner and means of performing sales outreach, subject to brand, legal, privacy, and conduct requirements stated in this Agreement.

2. No Authority to Bind Company

Agent may not sign contracts for customers, modify customer subscriptions, offer unauthorized discounts, bind the Company to obligations, accept customer payment card details, make legal or financial promises, or represent that Agent has authority beyond the approved sales partner role.

3. Commission-Only Compensation

Agent is eligible for commission only on approved, paid, active, properly tracked customers attributed to Agent under the lead attribution rules. No commission is earned merely by discussing Kuhstomshop with a prospect, submitting an incomplete lead, or introducing a prospect who does not become an approved paying customer. The standard model: a 20% recurring commission on monthly subscription revenue from each active customer, increasing to 30% once the Agent maintains 50+ active customers, plus a one-time $10 activation bonus per newly activated customer. Recurring commission is paid each month only while the customer remains active and eligible.

4. Sales Conduct Standards

Agent must act professionally and honestly. Agent must not: promise guaranteed sales, customers, revenue, or specific business outcomes; offer unauthorized pricing, discounts, refunds, or credits; collect or request customer passwords, payment card data, or sensitive credentials; use fake reviews, deceptive social media posts, or undisclosed referral promotions; misrepresent Agent as a Company employee; spam prospects, harass business owners, or violate platform or anti-spam rules; submit false, inflated, duplicate, or self-created leads.

5. Disclosure of Referral Relationship

When required by law, platform rules, or the context of the communication, Agent must clearly disclose the referral or commission relationship. Approved language: "I am an independent Kuhstomshop sales partner and may earn a commission if you sign up through my referral."

6. Confidentiality

Agent may receive confidential information including pricing, lead data, customer information, training materials, marketing strategies, sales processes, internal documents, account notes, and business plans. Agent must keep such information confidential and use it only for authorized Kuhstomshop sales partner purposes.

7. Chargebacks, Refunds, and Clawbacks

Commissions may be delayed, withheld, reversed, or offset if a customer cancels, receives a refund, disputes payment, charges back payment, fails activation, violates customer terms, or was acquired through Agent misconduct. The Company may offset overpaid commissions against future commissions where permitted by law.

8. Indemnification

Agent agrees to indemnify and hold harmless the Company from claims, losses, costs, damages, penalties, and expenses arising from Agent's unauthorized promises, unlawful outreach, data misuse, tax obligations, or violation of this Agreement.

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Maryland, without regard to conflict-of-law rules. Before filing any legal claim, the Parties agree to first attempt good-faith resolution by written notice and management review.

10. Electronic Signatures

Electronic signatures, click acknowledgments, and e-signature platform records are valid and binding to the maximum extent permitted by law.
